Käesoleva paragrahvi lõikes 1 sätestatu ei laiene avalikkuselt raha hoiustamiseks vastuvõtmisele või tagasimakstavate vahendite muul viisil kaasamisele, kui seda tehakse ... juriidiliste isikute poolt, kelle tegevus avalikkuselt raha kaasamisel ning selle paigutamisel on ammendavalt reguleeritud õigusaktidega ning kelle tegevuse üle nimetatud valdkondades on hoiustajate ja investorite kaitse eesmärgil õigusaktidega kehtestatud riiklik järelevalve.
In the absence of such minimum harmonization, a host Member State might consider itself justified, by considerations of investor protection, in requiring membership of its compensation scheme when a Community investment firm operating through a branch or under the freedom to provide services either belonged to no investor-compensation scheme in its home Member State or belonged to a scheme which was not regarded as offering equivalent protection; whereas such a requirement might prejudice the operation of the internal market.
A policy of adequate information of investors in the field of transferable securities is likely to improve investor protection, to increase investors' confidence in securities markets and thus to ensure that securities markets function correctly.
