Asjaolu, et pooled on lepingule kohaldatavaks õiguseks valinud välisriigi õiguse koos välisriigi kohtualluvuse valikuga või ilma selleta olukorras, kus kõik lepingusse puutuvad asjaolud on õiguse valiku ajal seotud ühe riigiga, ei mõjuta selle riigi nende õigusnormide kohaldamist, millest ei või tehinguga kõrvale kalduda (imperatiivsed sätted).
